Practice Summary

Mark has represented financial institutions his entire legal career, so has experienced the evolution of banking and finance over a long period and through several economic cycles. He is able to anticipate issues, see trends develop, and realize what needs to be done to meet his clients' business objectives.

Mark represents banks, commercial lenders, private equity funds, equipment lessors, and other financial service providers in commercial loan and lease documentation, real estate financings, workout negotiations, and portfolio acquisitions.
 
He also has extensive experience handling corporate and commercial law matters with an emphasis on mergers and acquisitions. Mark has handled numerous transactions for public and private companies throughout the western United States.

One of his greatest strengths is analyzing transactions and what it will take to effectively close the deal. Mark is thorough and detailed oriented, but does not get lost in the details. He keeps clients informed during the process and educates them through the ups and downs of a transaction so they know what to expect.
 
Mark is often recognized for his legal work as well as his extensive community service. He believes in giving back and is a pillar in the Portland legal community. Mark is past-president of the Oregon Law Foundation and Campaign for Equal Justice, and served as a member of the Executive Committee of the Oregon State Bar Debtor-Creditor Section, the Board of Directors of the Multnomah Bar Association, as well as its treasurer and representative to the American Bar Association House of Delegates.

He has also served on the Board of Directors and Executive Committee of the United Cerebral Palsy Association of Oregon and Southwest Washington. 

Representative Matters

Banking and Financial Institutions  

Representation of Administrative Agent in syndicated senior loans to finance construction of three South Waterfront condominiums, including negotiations on terms of intercreditor agreements with the mezzanine lenders.

Represented lenders on a number of construction loans for apartments, offices, and mixed-use facilities. 

Representation of lenders in commercial loans and leases to high tech companies, including intellectual property security agreements and warrant terms. 

Representation of numerous commercial lenders and lessors in workouts, collateral liquidations, collection matters and sales of individual loans and portfolios. 

Corporate and Commercial Law Matters

Representation of buyer in over 50 acquisition transactions ranging from $1,000,000 to $50,000,000, and in the establishment of a nationwide dealer program. 

Representation of sellers and buyers in merger and acquisition transactions, including the sale of a chemical company to a multi-national public company, sale of a medical clinic, the purchase of a software company and the sale of a medical rehabilitation equipment company. 

Representation of corporate clients in connection with formation of entities, buy-sell agreements, employment contracts, purchase orders, technology licenses and other contracts.
